Terms of Use

These terms are split by surface because browsing the public site is different from using the member and admin dashboard.

These Terms of Use ("Terms") govern access to and use of the Akron Executives Association ("AEA," "we," "us," or "our") public website and its member and admin dashboard tools.

By accessing or using either surface, you agree to these Terms. If you use the services on behalf of a business or organization, you represent that you are authorized to bind that business or organization to these Terms.

Public Site

Terms for the public website, directory, map, and contact pages

The Public Site is for learning about AEA, browsing the directory and map, reviewing categories, and contacting the association.

You do not need a member account to browse most public pages, but you must still use those pages lawfully and respectfully.

  • Do not scrape, harvest, bulk-export, resell, or republish directory or map data without written AEA permission.
  • Do not use contact information, forms, or public listings for spam, phishing, harassment, impersonation, or deceptive outreach.
  • Do not submit false, misleading, infringing, unlawful, malicious, or irrelevant content through public forms.
  • Understand that public business listings, logos, descriptions, services, websites, and social links may be visible to visitors, search engines, and social previews.
  • AEA may remove, revise, or hide public content when needed for accuracy, quality, legal, privacy, security, or association-policy reasons.

Dashboard

Terms for sign-up, sign-in, onboarding, member tools, billing, and the admin console

The Dashboard includes account creation and recovery, member onboarding, business management, leads, site visits, notifications, billing, and the admin console.

Dashboard access is role-based. Even if some account pages are reachable before login, they are still part of the Dashboard terms because they create or manage account access.

  • Keep account credentials confidential and promptly report suspected unauthorized access.
  • Provide accurate and current account, membership, business, billing, and contact information.
  • Upload only content and documents you are authorized to provide, including profile images, logos, icons, business data, and membership materials.
  • Do not access, share, export, or misuse member-only, business, billing, notification, audit, or administrative data beyond your authorized role.
  • Do not bypass rate limits, access controls, approval flows, authentication controls, or anti-abuse features.
  • AEA may suspend, limit, or terminate Dashboard access if use violates these Terms, association rules, payment requirements, or role-based permissions.

Association rules and role-based obligations

These Terms do not replace AEA bylaws, board policies, membership agreements, committee rules, invoices, or other association documents. If those documents apply to you and conflict with these Terms, the more specific association document controls for that subject.

Dashboard users may have additional obligations based on their role, including member, representative, officer, director, committee member, or administrator responsibilities.

Payments and dues

If dues, fees, invoices, subscriptions, coupons, or other payment features are offered through the Dashboard, you agree to provide accurate billing information and authorize the applicable payment processor to process the transaction.

Payment terms, refunds, late fees, failed-payment handling, membership status, and billing adjustments may also be governed by invoices, board policy, membership documents, or other AEA communications.

Third-party services

The Public Site and Dashboard may use or link to third-party services for authentication, maps, email delivery, payment processing, hosting, storage, analytics, logging, and security. Those services may have their own terms and privacy practices.

AEA is not responsible for third-party websites, services, content, availability, or policies, even when linked from the Public Site or Dashboard.

Intellectual property and submitted content

The services, site design, text, graphics, code, logos, marks, and other materials are owned by AEA or its licensors unless otherwise noted. You may not copy, modify, distribute, sell, or create derivative works from them except as allowed by law or with written permission.

You retain ownership of content you submit, but you grant AEA a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, transmit, and format that content as needed to operate, promote, secure, and administer the Public Site, Dashboard, and association.

Service changes, disclaimers, and limitation of liability

AEA may add, change, suspend, or discontinue any part of the Public Site or Dashboard at any time. We do not guarantee uninterrupted access, error-free operation, or complete accuracy of every listing, workflow, or feature.

To the fullest extent permitted by law, the services are provided on an as-is and as-available basis, and AEA disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

To the fullest extent permitted by law, AEA and its directors, officers, employees, contractors, volunteers, members, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, or business interruption arising from or related to the services.

Indemnification, termination, and governing law

You agree to defend, indemnify, and hold harmless AEA and its directors, officers, employees, contractors, volunteers, members, and service providers from claims, damages, liabilities, losses, and expenses arising from your misuse of the Public Site or Dashboard, your submitted content, your violation of these Terms, or your violation of law or another party's rights.

AEA may suspend or terminate access to the services at any time if we believe you violated these Terms, created risk for AEA or others, failed to meet membership or payment requirements, or if access is no longer appropriate under association policy.

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute related to these Terms or the services will be handled in the state or federal courts located in Ohio, unless applicable law requires otherwise.

Privacy

AEA handles information according to its Privacy Policy, which is also split between Public Site and Dashboard collection and use.
